Did he get some items from the account that got banned, and now fears getting banned for having recieved them ?
In that case, he can log back in without any fears : the probability that they'd do anything to your firends account is quite near to 0, but more importantly being logged in or not wouldn't make any difference to Blizzard if they wanted to inquire on that...
So he might as well be playing.

If I understand this correctly...
Someone spammed trade that he was giving away an account. Your friend took him up on the offer, but has decided that he does not want the account; he is afraid that he will be banned and would like to return it to the original owner.
My advice is to email wowaccountadmin@blizzard.com and inform them of the situation. Transfer of accounts is not allowed, but if your friend is that worried about it, it will allow him to wash his hands of the whole affair. As long as he is honest in his dealings with Customer Service, he should recieve no reprecussions.
If you're still uncomfortable with this type of resolution, please post your problems clearly in the WorldofWarcraft customer service forums at forums.worldofwarcraft.com and a GM can help advise you better.
Under no circumstances should you just forget about it. If the original owner does report it stolen (most likely because they want to return to the game, but it could also be malicious), they will check the IP of the person who logged in to the account and changed the password, then they will begin an 'investigation' during which they will temporary ban for at least 72 hours all accounts that have logged in from that address and begin to contact them via email, the ban will not be lifted on each account until it has been cleared.
Since your friend did not contact them upfront about it, there would then be a very good chance that they would ban his account as well. All accounts associated with account stealing or RMT are banned, not just the one gained. Best to come clean.
